NODWIN Gaming (a leader in youth entertainment, gaming and esports) and a material subordinate of Nazara Technologies Limited, BSE: NAZARA, today announced that it had acquired Trinity Gaming. Trinity Gaming is a leading gaming platform and agency MCN/ CSP. The deal was valued at approximately INR 24 crore. Trinity Gaming will become a wholly owned subsidiary of NODWIN Gaming. This is a major step for the company to expand its reach and capabilities in the Indian gaming ecosystem.
The purchase of 100% of Trinity’s share capital will be achieved through a secondary sale of NODWIN Gaming stock and a stock swap for a consideration up to INR 24 crores. The consideration will be paid in part by cash up to INR 4.8 crores, and the balance of INR 19.2 crores through a swap of equity shares from Nodwin Gaming. The founders will become shareholders in NODWIN Gaming as part of the transaction and continue to run the business.
Trinity Gaming was founded in 2019 by Abhishek Aggarwal, Shivam Rao and their entrepreneurial team. It has rapidly established itself as an important part of India’s gaming ecosystem. Trinity Gaming, a Creator Service Provider for Meta, is the only Gaming MCN for YouTube Gaming in India. It manages over 1,000 creators across the country and has prominent partnerships with global companies such as Samsung Realme, iQOO and Krafton.
Trinity’s expertise is content creation, digital advertising, and agency activations, which makes it an important addition to NODWIN Gaming’s portfolio. This enhances its ability to form impactful partnerships with game creators and brands.
NODWIN gaming will extend the portfolio of Trinity across existing businesses and NODWIN’s verticals in emerging markets like Africa, SE Asia and Central Asia. NODWIN Gaming is also merging its Unpaused Talent with Trinity, and will have the founding members of Trinity to lead it.
